2025 Financial Statements — what you need to know
The deadline for filing annual financial statements for fiscal year 2025 is May 27, 2026 for entities whose financial year matches the calendar year. While simplified forms reduce workload for micro-entities, reporting obligations remain strict.
Year 2025 brought several legislative changes affecting financial statement preparation: updated entity classification thresholds (OMFP 85/2025), new financial asset impairment rules aligned with IFRS 9, and mandatory SAF-T electronic reporting for companies with turnover exceeding 50 million lei.
Entity categories and differentiated obligations
Entity classification determines reporting complexity. Micro-entities (turnover under 3.5 million lei, assets under 1.75 million lei, fewer than 10 employees — two of three criteria) file abbreviated statements. Small entities file simplified financial statements, while medium and large entities file complete statements including detailed explanatory notes and administrator reports.
- Micro-entities — Abbreviated balance sheet + Abbreviated P&L
- Small entities — Abbreviated balance sheet + P&L + Simplified notes
- Medium/large entities — Complete set: balance sheet, P&L, equity changes, cash flows, explanatory notes
- Public interest entities — Complete set + ESG non-financial reporting
Practical preparation and documentation
Asset inventory
Annual asset inventory is mandatory under Accounting Law 82/1991 and must be completed before preparing financial statements. Verify accounting balances against physical inventory results for: stocks, fixed assets, receivables, liabilities, and cash.
Year-end adjustments
- Calculate and record annual depreciation
- Set up or adjust provisions and impairment allowances
- Regularize foreign exchange differences
- Recognize deferred income and expenses
- Calculate and record income tax
Electronic filing with ANAF
Financial statements are filed exclusively electronically through the e-guvernare.ro portal, signed with a qualified digital certificate. Forms are generated from the ANAF application (2026 version, available from April). Ensure you have the latest software version and a valid digital certificate at filing date.
Penalties for late filing include fines between 300 and 4,500 lei for delays, and between 1,000 and 5,000 lei for non-filing, per OG 2/2001 as amended.
